Terms of Service
Evergrowth Master Terms & Conditions (Alberta)
Effective Date: 2026-01-01
These Master Terms & Conditions (“Agreement”) govern the use of all software, extensions, and related services (collectively, the “Services”) provided by 1319988 Alberta Ltd. o/a Evergrowth Consulting, a Canadian corporation in the province of Alberta (“Evergrowth”), through Microsoft AppSource or any other delivery channel. These terms incorporate, and are supplemented by, the Product Addendum applicable to each specific Evergrowth product.
1. Definitions
- “Customer” / “You” — The legal entity installing, accessing, or using the Services.
- “Authorized User” — An individual permitted by Customer to access the Services.
- “Microsoft Services” — Microsoft Dynamics 365 Business Central and any related Microsoft platforms.
- “AppSource Subscription” — A subscription purchased or activated through Microsoft’s Commercial Marketplace.
- “Product Addendum” — The product‑specific terms supplementing this Agreement.
2. License Grant
Evergrowth grants Customer a non-exclusive, non-transferable, revocable, worldwide license to use the Services within the Customer’s Business Central tenant, strictly for internal business operations and subject to:
- all terms of this Agreement;
- all applicable Product Addenda; and
- the limitations of the Customer’s AppSource Subscription.
No resale, sublicensing, hosting as a service, or providing access outside Customer’s organization is permitted without Evergrowth’s prior written consent.
3. Restrictions on Use
Customer must not:
- reverse engineer, decompile, or attempt to derive the source code of the Services;
- remove or alter proprietary notices or telemetry instrumentation;
- use the Services to create competing products or extensions;
- circumvent subscription limitations or access controls;
- use the Services in violation of applicable laws or accounting standards.
4. Third-Party Platform Dependency
The Services depend on, and operate within, Microsoft Dynamics 365 Business Central. Customer acknowledges that:
- availability, performance, and functionality rely on Microsoft Services;
- Evergrowth is not responsible for outages, platform changes, or limitations imposed by Microsoft;
- Microsoft may modify APIs or infrastructure in ways that impact Evergrowth’s Services.
5. Customer Responsibilities
Customer is solely responsible for:
- configuring Business Central correctly;
- ensuring dimensional, posting, and accounting setup integrity;
- maintaining internal controls and validation processes;
- compliance with financial reporting obligations;
- maintaining security of user accounts and credentials.
6. Updates and Changes
Evergrowth may release updates, enhancements, bug fixes, patches, or new versions. Customer acknowledges that:
- updates may modify functionality;
- Microsoft platform changes may require Evergrowth to adapt the Services;
- Evergrowth may discontinue a product with 90 days’ prior notice, except where immediate discontinuation is required due to Microsoft policy or security considerations.
7. Telemetry & Data Collection
Evergrowth may collect anonymized or pseudonymized technical and diagnostic data, including:
- extension version, configuration state, and execution paths;
- performance metrics and reliability measurements;
- non-personal error traces;
- feature usage (e.g., activation of rule evaluation).
Evergrowth does not collect:
- financial ledger data;
- document numbers or operational identifiers;
- personal information unless explicitly provided by Customer during a support interaction.
Telemetry is used solely for improving reliability, performance, support, and product design.
Product-specific telemetry details appear in the relevant Product Addendum.
8. Data Ownership
Customer retains all ownership rights to all business data stored in Business Central. Evergrowth claims no rights to such data and does not store Customer business data outside the Customer’s Microsoft environment unless explicitly enabled or provided by Customer.
9. Confidentiality
Both parties agree to maintain the confidentiality of any non-public information obtained from the other party. Confidential information excludes information that is:
- publicly available without breach;
- independently developed;
- received from a third party without restriction;
- required for disclosure by law or court order.
10. Support & Service Levels
Evergrowth provides standard support via email at support@evergrowth.ca.
Unless otherwise agreed in a separate paid support agreement:
- response target: 2 business days;
- no guarantee of resolution times;
- no SLA or uptime obligations apply.
11. Fees, Billing & Marketplace
All billing, subscription management, renewals, taxes, and trial periods are administered through Microsoft’s Commercial Marketplace. Customer agrees that:
- Evergrowth does not process or store payment information;
- Marketplace terms govern billing, renewals, cancellations, and refunds;
- pricing may change subject to Marketplace notification policies.
12. Term & Termination
This Agreement remains in effect while Customer maintains an active subscription and continues using the Services.
Either party may terminate this Agreement:
- immediately upon material breach;
- if Customer ceases payment via AppSource (automatic revocation);
- if required by law or Microsoft policy.
Upon termination:
- the license immediately ends;
- Customer must cease use and uninstall the extension;
- no refunds are available except as permitted by Microsoft Marketplace policy.
13. Warranty Disclaimer
The Services are provided “AS IS” and “AS AVAILABLE” without any warranty, express or implied, including but not limited to:
- merchantability;
- fitness for a particular purpose;
- accuracy of accounting outcomes;
- non-infringement.
Evergrowth does not warrant that the Services will be error-free or uninterrupted.
14. Limitation of Liability
To the fullest extent permitted by law:
- Evergrowth’s total aggregate liability is limited to the fees paid by Customer during the twelve (12) months preceding the claim;
- Evergrowth is not liable for:
- indirect, incidental, special, or consequential damages;
- loss of profits, revenue, or data;
- posting failures or accounting discrepancies caused by configuration errors, third-party extensions, or Microsoft platform behavior.
15. Indemnity
Customer will indemnify, defend, and hold harmless Evergrowth from any claims, damages, or liabilities arising from:
- misuse of the Services;
- violations of law or third-party rights;
- incorrect accounting or dimension configuration;
- data inaccuracies introduced by Customer or third-party systems.
16. Governing Law
This Agreement is governed by the laws of the Province of Alberta, and the applicable federal laws of Canada.
All disputes are subject to the exclusive jurisdiction of the courts of Alberta.
17. Entire Agreement
This Agreement, together with the applicable Product Addendum(s), constitutes the entire agreement between Customer and Evergrowth regarding the Services and supersedes all prior agreements or understandings.
Product Addendum: DimLogic Module
This Product Addendum supplements the Evergrowth Master Terms & Conditions and applies specifically to the DimLogic Module Microsoft Dynamics 365 Business Central extension.
1. Product Description
DimLogic provides automated suggestion, evaluation, and conditional logic for dimension values in Dynamics 365 Business Central. DimLogic operates within the native Business Central dimension framework and does not override or replace Microsoft’s posting engine.
2. Data Processed and Stored
DimLogic stores configuration and metadata required for rule evaluation, including:
- rule headers;
- rule lines and conditions;
- suggested dimension mappings;
- evaluation state metadata.
This information resides entirely within Customer’s Business Central environment.
DimLogic does not store:
- financial transactions;
- ledger entries;
- document-level details;
- personal data.
3. DimLogic Telemetry
DimLogic may emit pseudonymized or aggregated telemetry, such as:
- rule evaluation events;
- dimension code identifiers (hashed or pseudonymized);
- performance timings;
- success/failure events;
- unexpected execution paths.
Telemetry does not include:
- document numbers;
- amounts or ledger values;
- vendor, customer, or employee identifiers.
Customer may disable telemetry through Business Central administrative controls or through configuration options provided by Evergrowth (if available).
4. Accounting Disclaimer
DimLogic assists with dimension selection but does not:
- validate the correctness of Customer’s accounting structures;
- enforce GAAP/IFRS or jurisdictional compliance;
- guarantee reporting accuracy.
Customer retains sole responsibility for:
- validating accounting outcomes;
- ensuring correct dimension configuration;
- reviewing posted entries.
5. Extension Interactions & Limitations
DimLogic interacts with the Business Central dimension subsystem and may be affected by:
- other installed extensions that modify dimension behavior;
- blocked or restricted dimension combinations set by Customer or other extensions;
- updates or breaking changes in Microsoft Services.
Evergrowth is not liable for failures or interactions caused by external modifications, third-party products, or Microsoft platform changes.
6. End of Addendum
Unless modified above, all terms of the Evergrowth Master Terms & Conditions remain fully in effect.
